H2 Hats Wholesale Terms & Conditions

Effective Date: January 1, 2026

Welcome to H2 Hats (“H2 Hats,” “we,” “our,” or “us”). These Wholesale Terms & Conditions (“Wholesale Terms”) govern all wholesale purchases made directly through H2 Hats. By opening a wholesale account or placing a wholesale order, you agree to be bound by these Wholesale Terms in addition to our general Terms & Conditions.

1. Wholesale Eligibility

Wholesale accounts are available only to qualified businesses that intend to purchase products for resale or other approved commercial purposes.

H2 Hats reserves the right to approve, deny, suspend, or terminate any wholesale account at its sole discretion.

Additional documentation, including resale certificates or business licenses, may be required before account approval.

2. Wholesale Pricing

Approved wholesale customers will receive pricing established by H2 Hats.

Wholesale pricing is confidential and may not be published, shared, or distributed without the prior written consent of H2 Hats.

H2 Hats reserves the right to modify wholesale pricing at any time without prior notice.

Price changes will not affect orders that have already been accepted.

3. Minimum Order Requirements

Wholesale orders may be subject to minimum purchase quantities or minimum dollar amounts.

Minimum order requirements are established by H2 Hats and may change periodically.

Orders that do not meet current minimum requirements may be declined.

4. Ordering

Wholesale orders may be placed through approved ordering channels designated by H2 Hats.

Submission of an order does not guarantee acceptance.

H2 Hats reserves the right to:

·         Accept or reject any order

·         Limit product quantities

·         Allocate inventory during periods of limited availability

·         Cancel orders suspected of fraud or unauthorized resale

An order is considered accepted only after confirmation by H2 Hats.

5. Payment Terms

Unless otherwise agreed in writing, payment is due in full before shipment.

Approved customers may be offered alternative payment terms at the sole discretion of H2 Hats.

Late payments may result in:

·         Suspension of ordering privileges

·         Cancellation of pending orders

·         Interest or late fees where permitted by law

·         Collection costs, including reasonable attorneys’ fees

6. Shipping

Shipping charges are the responsibility of the wholesale customer unless otherwise agreed in writing.

Estimated shipping dates are provided for planning purposes only and are not guaranteed.

Risk of loss transfers to the customer once the shipment has been delivered to the shipping carrier.

7. Inspection of Goods

Wholesale customers are responsible for inspecting all shipments immediately upon delivery.

Any shortages, shipping errors, or visible damage must be reported to H2 Hats within five (5) business days of delivery.

Failure to notify H2 Hats within this period may constitute acceptance of the shipment.

8. Returns & Claims

Wholesale sales are generally considered final.

Returns will only be accepted for:

·         Products shipped in error by H2 Hats

·         Manufacturing defects

·         Products approved for return in writing by H2 Hats

Unauthorized returns may be refused.

Approved returns must be received in their original condition unless the return involves a verified manufacturing defect.

9. Product Quality

Minor variations in color, stitching, embroidery, woven patches, PVC patches, materials, and finishes are normal manufacturing characteristics and do not constitute product defects.

Product photographs, catalogs, and marketing materials are intended for general reference and may not exactly represent final production.

10. Intellectual Property

All trademarks, logos, product names, artwork, photography, catalogs, website content, and marketing materials remain the exclusive property of H2 Hats.

Wholesale customers may use approved H2 Hats marketing materials solely for the purpose of promoting and selling genuine H2 Hats products.

No alterations to trademarks, logos, or branded materials may be made without prior written approval.

11. Online Marketplace Restrictions

Unless expressly authorized in writing by H2 Hats, wholesale customers may not sell H2 Hats products through:

·         Amazon

·         Walmart Marketplace

·         eBay

·         Temu

·         Wish

·         Other third-party online marketplaces designated by H2 Hats

Wholesale customers may sell H2 Hats products through their own retail stores and company-owned websites unless otherwise restricted by written agreement.

12. Minimum Advertised Price (MAP)

If H2 Hats establishes a Minimum Advertised Price (“MAP”) Policy, wholesale customers agree to comply with that policy.

Failure to comply may result in suspension or termination of wholesale purchasing privileges.

13. Account Termination

H2 Hats reserves the right to suspend or terminate any wholesale account for reasons including, but not limited to:

·         Violation of these Wholesale Terms

·         Non-payment

·         Fraudulent activity

·         Unauthorized product distribution

·         Misrepresentation of H2 Hats products

·         Violation of intellectual property rights

Termination does not relieve the customer of any outstanding payment obligations.

14. Limitation of Liability

To the fullest extent permitted by law, H2 Hats shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from wholesale transactions.

H2 Hats’ total liability shall not exceed the amount paid for the products giving rise to the claim.

Nothing in these Wholesale Terms limits liability where such limitation is prohibited by applicable law.

15. Indemnification

The wholesale customer agrees to defend, indemnify, and hold harmless H2 Hats, its owners, officers, employees, affiliates, contractors, and agents from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

·         The customer’s resale or distribution of H2 Hats products

·         Violation of these Wholesale Terms

·         Violation of applicable laws or regulations

·         Infringement of third-party rights

16. Governing Law

These Wholesale Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising under these Wholesale Terms shall be brought exclusively in the state or federal courts located in Escambia County, Florida, and the parties consent to the jurisdiction of those courts.

17. Changes to These Wholesale Terms

H2 Hats reserves the right to modify these Wholesale Terms at any time.

Updated terms become effective immediately upon posting or otherwise providing notice to wholesale customers.

Continued purchasing from H2 Hats constitutes acceptance of any revised Wholesale Terms.

18. Entire Agreement

These Wholesale Terms, together with any approved wholesale pricing agreement, credit application, MAP Policy (if applicable), and the H2 Hats Terms & Conditions, constitute the entire agreement between H2 Hats and its wholesale customers.
